Sidus Space sets terms for $9.8 million stock sale

Sidus Space announced it has priced a best-efforts public offering of 9.8 million shares of its Class A common stock at $1.00 per share. The transaction is expected to generate gross proceeds of approximately $9.8 million before deducting placement agent fees and other expenses.

All shares are being issued by the company, which plans to apply the net proceeds toward working capital and general corporate purposes. The closing of the offering is anticipated on September 16, 2025, pending customary conditions.

ThinkEquity is serving as the sole placement agent.

The securities are being offered pursuant to a shelf registration statement on Form S-3 filed in July 2023 and declared effective the following month. A final prospectus supplement and base prospectus will be filed with the U.S. Securities and Exchange Commission and available at www.sec.gov.
